This License Agreement (the “Agreement”) is entered into as of the date of purchase or date of download, between Prowebmentor, hereinafter referred to as the “Licensor,” and the purchaser, hereinafter referred to as the “Licensee.
1. License Grant:
Subject to the terms and conditions of this Agreement, the Licensor hereby grants the Licensee a non-exclusive, non-transferable license to use this digital product (the “Product”), for personal or commercial use on an unlimited number of websites, belonging to either the Licensee or their clients.
3. Prohibited Activities:
The Licensee shall not resell, redistribute, sublicense, or share the Product (in whole or in part) in any form, whether for financial gain or otherwise. Any unauthorized use or distribution of the Product constitutes a material breach of this Agreement and may result in legal action.
4. Modifications and Derivative Works:
The Licensee is permitted to make any necessary modifications to the Product to suit their specific needs. However, the Licensee acknowledges that all modifications, enhancements, or derivative works created from the Product shall remain the exclusive property of the Licensor. The Licensee shall not claim any intellectual property rights or ownership over the modified Product.
5. Reservation of Rights:
All rights not expressly granted to the Licensee in this Agreement are reserved by Prowebmentor. The Licensee agrees not to remove, alter, or obscure any copyright notices or proprietary legends on the Product.
6. Indemnification:
The Licensee agrees to indemnify, defend, and hold harmless Prowebmentor and its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses, including reasonable attorney fees, arising from or related to the Licensee’s use of the Product or any breach of this Agreement.
7. Termination:
This Agreement shall be perpetual and shall continue to remain in effect unless terminated in the event of a material breach by the Licensee. Upon the occurrence of a material breach, as determined by the Licensor in its sole discretion, the Licensee’s license to use the Product shall be automatically terminated without the need for any written notice.
8. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of our Jurisdiction. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, interpretation, performance, or breach, shall be exclusively brought before the courts of our Jurisdiction only.
8. Entire Agreement and Modifications:
This license agreement constitutes the entire agreement between Prowebmentor and the Licensee and supersedes any prior agreements or understandings, whether written or oral, regarding the Product. This License Agreement may be modified by the Licensor at any time without prior notification to the Licensee. The updated version of the Agreement will be posted on the Licensor’s website. Continued use of the Product after such modifications shall constitute the Licensee’s acceptance of the updated terms and conditions.
By downloading and using the Product, the Licensee acknowledges that they have read, understood, and agreed to the terms and conditions of this License Agreement.
